Welcome to BookingPenguin. By accessing or using our booking management platform, website, and related services (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and BookingPenguin regarding your use of the Service. We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

BookingPenguin is a software-as-a-service (SaaS) platform that enables businesses to manage bookings, staff, and client relationships. Our Service includes:

  • Communication features (chat, notifications)
  • Reporting and analytics

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Accounts

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Account Types

Our Service offers different account types including Admin, Staff, and Client accounts. Each account type has specific permissions and restrictions as defined by the business administrator.

By using our Service, you agree to:

  • Maintain the confidentiality of your account credentials

You retain ownership of any content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display your content as necessary to provide the Service.

7. Payment Terms

If you use paid features of the Service:

  • You agree to pay all applicable fees as described in the Service
  • Fees are non-refundable unless otherwise stated
  • We may change our fees with reasonable notice
  • You are responsible for any applicable taxes

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOKINGPENGUIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers or your personal information
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or similar issues transmitted through the Service
  • Any errors or omissions in any content

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.

10. Indemnification

You agree to indemnify, defend, and hold harmless BookingPenguin and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which BookingPenguin operates, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BookingPenguin regarding the Service and supersede all prior agreements and understandings.
